Terms & Condition

Definitions

Agency: Refers to Bfunded.
Client: Refers to the individual or company engaging the Agency's services.
Services: Refers to marketing, creative, and consulting services provided by the Agency.
Deliverables: Refers to the final products, campaigns, designs, or other outcomes created as part of the Services.

Scope of Services

The Agency will provide the Services as outlined in the agreed-upon proposal, contract, or statement of work (SOW).
Additional work outside the agreed scope will require a separate agreement or amendment and may be subject to additional fees.

Fees and Payments

All fees are outlined in the proposal or contract and are exclusive of applicable taxes, which the Client agrees to bear.
Invoices are due within 14 days of issuance, unless otherwise stated.

Intellectual Property

Ownership of deliverables will be transferred to the Client upon full payment of all fees.
The Agency retains the right to use non-confidential deliverables for portfolio and marketing purposes unless otherwise agreed in writing.
Any intellectual property, templates, or processes used to create deliverables remain the Agency's property.

Confidentiality

Both parties agree to keep confidential all proprietary information shared during the engagement.
This obligation will continue for 2 years after the conclusion of the agreement.

Client Responsibilities

The Client must provide timely feedback, approvals, and necessary materials to avoid delays.
The Agency is not responsible for delays caused by the Client’s failure to meet these obligations.

Revisions and Approvals

The scope of any project includes up to 2 rounds of revisions. Additional revisions will be billed at the Agency’s hourly rate or as otherwise agreed.
Final deliverables will be considered approved if no feedback is provided within 8 business days of submission.

Termination

Either party may terminate the agreement with 30 days written notice.
If the Client terminates the agreement, the Client will pay for all work completed up to the termination date.
The Agency reserves the right to terminate services immediately in case of non-payment or breach of terms by the Client.

Limitation of Liability

The Agency’s liability for any claim arising from the engagement is limited to the total fees paid by the Client.
The Agency is not responsible for indirect, incidental, or consequential damages.

Indemnification

The Client agrees to indemnify and hold our parent company, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from claims, damages, or losses arising from the Client’s use of the deliverables or breach of these terms.

Force Majeure

The Agency is not liable for delays or non-performance caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, or government actions.

Governing Law

These terms and conditions are governed by the laws of [insert jurisdiction]. Any disputes will be resolved in the courts of [insert location].

Changes to Terms

The Agency reserves the right to update these terms at any time. Clients will be notified of significant changes.
